Terms of Service

1. Who we are
Callkept ("we", "us") provides a lead-recovery service for businesses: automated SMS and web conversations that respond to missed or unanswered enquiries, qualify them and arrange bookings or callbacks ("the Service"). These terms are a contract between us and the business that creates an account ("you"). The Service is for business customers only.
2. The Service
We will provide the Service with reasonable skill and care. The Service uses automated software (including language models) that identifies itself as automated to your customers. It does not replace your judgement: you remain responsible for the work you perform, the advice you give, and for confirming bookings with your customers.
3. Your responsibilities
- Provide accurate business information (services, hours, service area, policies). The assistant answers only from information you confirm.
- Configure call diverts on your own telephone service; you keep ownership of your numbers.
- Use the Service lawfully, including compliance with the Privacy and Electronic Communications Regulations and UK GDPR in respect of your own customers, and our Acceptable Use Policy.
- Not use the Service to send unsolicited marketing to individuals.
4. Fees
Fees are as shown at checkout, billed monthly in advance via Stripe, exclusive of VAT. Usage beyond the included allowance (e.g. SMS) is billed at the rates shown in your account. You may cancel at any time from the billing portal; cancellation takes effect at the end of the current billing period and no partial refunds are due except as required by law or as set out in section 9.
5. Data
We process personal data of your customers on your behalf as a processor under the Data Processing Addendum. Our Privacy Policy explains how we process your account data as a controller. We do not use your data or your customers' data to train shared machine-learning models.
6. Availability
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be notified where practicable. Third-party telephony, email and calendar providers are outside our control.
7. Intellectual property
We own the Service and its software. You own your business information and your customers' data. You grant us a licence to use your information solely to provide the Service.
8. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law. Subject to that, we are not liable for loss of profit, revenue, business or goodwill, or indirect or consequential loss; and our total liability in any 12-month period is limited to the fees you paid us in that period. The Service does not guarantee any number of recovered leads, bookings or revenue.
9. Termination
Either party may terminate on notice. We may suspend or terminate for material breach, non-payment, or unlawful use. On termination you may export your data for 30 days, after which it is deleted per our retention policy.
10. Changes
We may update these terms with 30 days' notice by email; continued use after that date is acceptance. Material adverse changes allow you to cancel without penalty.
11. General
These terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction. Contact: callkept@maib.io.
